Investment objective

The VictoryShares Top Veteran Employers ETF (the Fund) seeks to provide investment results that track the performance of the Veterans Select Index before fees and expenses.

Principal investment strategy

"Under normal circumstances, the Fund seeks to achieve its investment objective by investing at least 80% of its assets in securities in the Veterans Select Index (the ""Index""). The Index is designed to identify companies that have demonstrated support of U.S. military veterans, service members and their families through employment opportunities and related policies. The Index is maintained exclusively by VETS Indexes LLC (the Index Provider). The Index is composed of issuers from the universe of companies identified by various periodic rankings, survey and recognition programs published by the U.S. government and non-government publishers that the Index Provider has selected for being supportive of U.S. military veterans, service members and their families through the creation of employment opportunities and the adoption of associated employment policies.

To be included in the Index, eligible companies in the universe must be publicly traded with a market capitalization of at least $1 billion and its common stock must have liquidity greater than $40 million in average daily traded dollar volume. The Index is reconstituted semi-annually, and constituent companies are equally weighted. The number of companies in the Index can change and may at times have fewer than 50 companies. As of September 30, 2020, the Index had 49 constituents and a market capitalization range from $2.9 billion to $1.5 trillion. The Fund generally seeks to track the returns of the Index before fees and expenses by employing a replication strategy that seeks to hold all the stocks in the Index in proportion to their weightings in the Index. Although all of the companies in the Index have their stock listed on a U.S.

exchange, such companies may have significant business operations outside of the United States. From time to time, the Funds investments will be concentrated in an industry or group of industries to the extent the Index is so concentrated. As of the date of this Prospectus, the Index is not concentrated in any industry or group of industries."
